Terms of Service

Welcome to Foliad. These Terms of Service ("Terms") govern your access to and use of the Foliad website at foliad.com (the "Service"), operated by Foliad ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By creating an account or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. We do not knowingly collect information from individuals under 16. If we become aware that a user is under 16, we will take steps to terminate their account and delete their data.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept full responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

4. User Content

The Service allows you to create, upload, publish, and display content including but not limited to text, images, videos, code, and other materials ("User Content"). You retain all ownership rights in your User Content.

By posting User Content on the Service, you grant Foliad a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, distribute, and make available your User Content solely in connection with operating and providing the Service. This license includes the right to display your portfolio on the Foliad Discover feed, in search results, and in promotional materials for the Service.

This license terminates when you delete your User Content or your account, except where your content has been shared with others and they have not deleted it, or where retention is reasonably necessary for legal compliance.

You represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to post your User Content
  • Your User Content does not infringe upon the intellectual property rights of any third party
  • Your User Content does not violate any applicable law or regulation

5. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload content that is defamatory, obscene, harassing, threatening, or hateful
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any systems or networks
  • Use automated means (bots, scrapers, crawlers) to access the Service without our written permission
  • Upload malware, viruses, or other malicious code
  • Collect or harvest any personally identifiable information from other users
  • Use the Service to send unsolicited communications (spam)

6. Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is and remains the exclusive property of Foliad and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Third-Party Services

The Service may integrate with or contain links to third-party websites, services, or content. We do not endorse, control, or assume responsibility for any third-party content or services. Your interaction with third-party services is governed by their respective terms and policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOLIAD, ITS OPERATORS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any User Content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Foliad and its operators, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Foliad regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
